TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of pretechpark.com (the "Site") and any design, development, or related services provided by PreTech Park ("PreTech Park", "we", "us", "our"), based in Dhaka, Bangladesh. By accessing the Site or engaging our services, you ("you", "your") agree to these Terms. If you do not agree, please do not use the Site or our services.

1. Who we are

PreTech Park is a Shopify app and theme studio offering custom app development, theme design and development, backend configuration and management, store setup, and related services (together, the "Services"), as well as our own published applications.

2. Using the Site

You may use the Site for lawful purposes only. You agree not to:

  • use the Site in any way that breaches applicable laws or regulations;
  • attempt to gain unauthorized access to the Site, its server, or any connected system;
  • interfere with, disrupt, or place an unreasonable load on the Site or its infrastructure;
  • introduce malicious code, or scrape, copy, or harvest content or data except as expressly permitted;
  • misrepresent your identity or submit false information through our forms.

We may suspend or restrict access to the Site at any time if we reasonably believe these Terms have been breached.

3. Intellectual property

The Site and its content — including text, graphics, logos, layout, code, and design (excluding third-party and client materials) — are owned by PreTech Park or its licensors and are protected by applicable intellectual-property laws. You may view and use the Site for your own information and to evaluate our Services. You may not copy, reproduce, modify, distribute, or create derivative works from the Site or its content without our prior written permission. "PreTech Park", "PreFit Pro", and related names and logos are our marks and may not be used without permission.

4. Enquiries, proposals, and engagements

Information on the Site — including descriptions of Services, packages, and indicative pricing — is provided for general information and does not constitute a binding offer. Any engagement for Services is governed by a separate written agreement, proposal, quotation, or statement of work agreed between you and PreTech Park (an "Engagement Agreement"). Where an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement.

Submitting a form or enquiry does not create a contract or oblige either party to proceed; a project begins only once we have agreed scope, fees, and timing in writing.

5. Your responsibilities for engagements

  • You are responsible for providing accurate information, timely feedback, and any content, access, credentials, or materials we reasonably need to deliver the Services.
  • You confirm that any materials you provide to us do not infringe the rights of any third party and that you have the right to share them.
  • You are responsible for maintaining your own backups and for complying with the terms of any third-party platforms (including Shopify) used in connection with your project.

6. Fees and payment

Fees, payment schedules, and any deposits are set out in the applicable Engagement Agreement. Unless stated otherwise, fees are exclusive of applicable taxes, and invoices are payable by the due date stated. Payments may be processed through Shopify or another third-party payment processor; we do not store your full payment-card details. Except where required by law or expressly agreed, fees paid are non-refundable once the corresponding work has been performed.

7. Deliverables and intellectual property in project work

Ownership of, and licenses to, work products created during an engagement are governed by the applicable Engagement Agreement. Unless otherwise agreed in writing, we may retain and reuse our pre-existing tools, libraries, know-how, and general skills, and may reference non-confidential work in our portfolio.

8. Our applications

Our published applications (for example, PreFit Pro) are licensed and governed by their own terms and privacy policies, such as the PreFit Pro Terms of Service and the PreFit Pro Privacy Policy. Those terms apply to your use of the relevant app in addition to these Terms.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we handle personal information and is incorporated into these Terms by reference.

10. Third-party platforms and services

The Site is hosted on Shopify, and our Services often integrate with Shopify and other third-party platforms and tools. We are not responsible for third-party services, and their availability, performance, and terms are outside our control. Your use of Shopify and other third-party services is subject to their own terms and policies.

11. Disclaimer of warranties

The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any information on it is complete or current. Warranties relating to Services, if any, are set out in the applicable Engagement Agreement.

12. Limitation of liability

To the maximum extent permitted by law, PreTech Park will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or related to your use of (or inability to use) the Site. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed the greater of the amount you paid us for the relevant Services in the three (3) months preceding the event giving rise to the claim, or USD 100. Liability arising from an engagement is governed by the applicable Engagement Agreement.

13. Indemnification

You agree to defend, indemnify, and hold harmless PreTech Park and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Site, the materials you provide, or your breach of these Terms or any applicable law.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law. Termination of any engagement is governed by the applicable Engagement Agreement. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

15. Changes to these Terms

We may modify these Terms or the Site from time to time. Material changes will be posted with an updated "Last updated" date and, where appropriate, otherwise notified. Your continued use of the Site after changes take effect constitutes acceptance of the modified Terms.

16. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict-of-law rules. Subject to any mandatory consumer-protection rights available to you in your place of residence, the courts located in Dhaka, Bangladesh will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site.
