1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the PreFit Pro application ("PreFit Pro", "the App"), operated by PreTech Park ("we", "us", "our"), located in Dhaka, Bangladesh. By installing, accessing, or using the App, you ("Merchant", "you", "your") agree to be bound by these Terms. If you do not agree, do not install or use the App.
2. Definitions
- "Shopify" means Shopify Inc. and the Shopify platform.
- "Store" means your Shopify store.
- "Shopper" means an end customer who interacts with the App on your storefront.
- "Data" means the data you provide to, or generate through, the App.
3. Eligibility and Account
You must have a valid Shopify account and the authority to enter into these Terms on behalf of your business. You are responsible for your Shopify account, credentials, and all activity that occurs under your Store in connection with the App.
4. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your Store during your active subscription. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the App or any part of it, except to the extent such restriction is prohibited by applicable law.
5. Subscriptions, Fees, and Billing
- The App is offered on paid plans: Growth (US$25 per month or US$270 per year) and Advanced (US$75 per month or US$810 per year). Pricing and plan features may change with reasonable notice. There is no free tier.
- A 14-day free trial may be offered. Development and partner stores may test the App without charge, as permitted by Shopify.
- All fees are billed and collected by Shopify through the Shopify Billing API and are subject to Shopify's terms. We do not process or store your payment details.
- Fees are exclusive of applicable taxes unless stated otherwise. Except where required by law or expressly stated, fees are non-refundable.
- You may upgrade, downgrade, or cancel your subscription at any time through Shopify; changes take effect in accordance with Shopify's billing rules.
6. Acceptable Use
You agree not to: (a) use the App unlawfully or in violation of Shopify's terms or policies; (b) attempt to gain unauthorized access to the App or its systems or data; (c) interfere with, disrupt, or overload the App or its infrastructure; (d) use the App to store or transmit malicious code; or (e) use the App to misrepresent product compatibility or otherwise deceive shoppers.
7. Merchant Responsibilities
- You are responsible for the accuracy of the vehicle/fitment data and product mappings you configure. Fitment results depend entirely on the data you provide; we do not guarantee the real-world compatibility of any part or product.
- You are responsible for complying with all laws applicable to your business, including consumer-protection and privacy/data-protection laws, and for maintaining your own storefront privacy policy and a lawful basis for processing shopper data.
- Where we process personal data on your behalf, you are the controller and we are the processor. Our processing is described in our Privacy Policy, which is incorporated into these Terms by reference.
8. Intellectual Property
The App, including its software, design, text, and other content (excluding your Data and Shopify's property), is owned by PreTech Park and protected by applicable intellectual-property laws. All rights not expressly granted to you are reserved.
9. Data and Privacy
Your use of the App is also governed by our Privacy Policy. By installing the App, you authorize us to access and process Store and shopper data as necessary to provide the App, consistent with the permissions (access scopes) you approve at installation.
10. Third-Party Services
The App runs on and integrates with Shopify and other third-party infrastructure (such as our hosting provider). We are not responsible for third-party services, and their availability, performance, and terms are outside our control.
11. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT FITMENT RESULTS WILL BE ACCURATE, RELIABLE, OR COMPLETE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRETECH PARK AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE TOTAL FEES YOU PAID FOR THE APP IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless PreTech Park and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your Data, or your violation of these Terms or any applicable law.
14. Term and Termination
These Terms remain in effect while the App is installed on your Store. You may terminate at any time by uninstalling the App. We may suspend or terminate your access for breach of these Terms, non-payment, or misuse. Upon termination, your license ends and your Data is handled as described in our Privacy Policy.
15. Modifications
We may modify the App or these Terms from time to time. Material changes to these Terms will be posted with an updated "Last updated" date and, where appropriate, notified within the App. Your continued use of the App after changes take effect constitutes acceptance of the modified Terms.
16. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict-of-law rules. Subject to any mandatory consumer-protection rights available to you in your place of residence, the courts located in Dhaka, Bangladesh will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the App.
